Professional
Corporation Process
Please note that forming a professional
corporation is not the same process as obtaining a veterinary practice facility
name approval from the Board. These are two separate issues. The Secretary of State
office approves corporation names as long as they are not duplications, or
misleading to the public. Incorporation names can differ from the Boards
approved veterinary practice name. The veterinary practice name approval
process and required inspection needs to be addressed before providing
veterinary services to the public.
The North Carolina General Assembly created the
Professional Corporation Act in 1969. The Act provides for professional corporations (55B-4) and professional
limited liability companies
(57C-2-01(c)) to engage in the rendering of professional services. They are
subject to conditions and limitations imposed by Chapter 55B and applicable
licensing statutes and Administrative Codes. When a Letter of Certification is
requested from the North Carolina Veterinary Medical Board it certifies to the
Secretary of State office that the owner(s) of all shares of stock in the
professional corporation or member(s) in the professional limited liability
company are in compliance with the requirements of Chapter 55B, "Professional Corporation Act" and certifies
that all owner(s) and/or member(s) are licensed to practice veterinary medicine
in North Carolina. It should be noted that proposed Articles of Incorporation
must state that they are for forming a professional corporation or a
professional limited liability company. The Board office may not process other
types of articles of incorporation and could delay the corporation process.
The procedure is as
follows:
The Boards part 1 paper work, below,
with a copy of the proposed Articles of Incorporation or Articles of
Organization, and fee of $150.00 (payable to the North Carolina Veterinary
Medical Board) needs to be submitted to the Board office before being sent to
the Secretary of States office. The Secretary of States office requires NCVMB letter of certification to be
submitted with the original proposed Articles of Incorporation or Articles of
Organization before they can process corporation paperwork. The NCVMB letter of
certification and original proposed Articles of Incorporation or Articles of
Organization will need to be filed with the Secretary of State office by you. **The Board office can
not forward paperwork, fees, to the Secretary of States
office.
The turn around
time for the Boards part of the corporation process is 24/48 hours, once the
request has been received in the office.
A Certificate of Registration is issued
thru the Board office once conformation has been received that Articles have
been processed by Secretary of States office.

Professional corporations and professional limited liability companies are renewed in December of each year. Failure to comply with renewal requirements of the
North
Carolina Veterinary Medical Board could result in suspension of the professional corporation or professional limited liability
company by the Secretary of States office.

Professional corporations and
professional limited liability companies are responsible for securing a letter
of certification from the Board office for all amendments made to the original
Articles of Incorporation or Articles of Organization. A copy of the proposed
articles of amendment or articles of dissolution needs to be submitted to the
Board office first. The Secretary of States office
needs the letter of certification from NCVMB before they can process paperwork.
